Reseller Terms & Conditions

These Reseller Terms govern the purchase and resale of HostupCloud services under a white-label or sub-reseller arrangement. They supplement the General Terms and Conditions and the System Policies. In the event of conflict, these Reseller Terms prevail for reseller-specific matters.

1. Reseller Eligibility

1.1Must be a registered business entity or self-employed individual with valid GST registration (for India) or equivalent tax registration in your jurisdiction
1.2Must have an active HostupCloud account in good standing with no outstanding invoices
1.3Must agree to these Reseller Terms in addition to the General Terms
1.4Must have a valid, legitimate business purpose for reselling hosting services
1.5Reseller accounts may not be used for personal hosting consumption at reseller pricing
1.6Sub-resellers (reselling to other resellers) require written approval from HostupCloud
Apply for a reseller account by contacting sales@hostupcloud.com. We will provide your reseller discount tier, white-label credentials, and API access after approval.

2. Resellable Products

Shared Web Hosting

Solo, Neo, Entry, Smart Cloud plans. White-label nameservers available. End-customer uses cPanel/HUCPanel.

Cloud VPS

KVM-based VPS plans. Resellers manage provisioning via WHM or API. End-customers get root access.

Domain Registration

Resell domains at your own margin. WHMCS integration supported. Your brand on WHOIS.

SSL Certificates

DV, OV, and EV certificates. Commission-based. Sold through your own billing portal.

Bare Metal Servers

Available to approved enterprise resellers only. Minimum 3-month commitment required.

Colocation

Not available for resale. Direct contract required.

3. Reseller Pricing & Billing

Reseller pricing

Resellers purchase resources at a discounted wholesale rate (tier-based on volume). The margin between wholesale and your retail price is entirely yours.

Billing relationship

HostupCloud bills the reseller, not their end-customers. Resellers are responsible for their own billing systems and collection from end-customers.

Payment terms

Reseller accounts are billed monthly in advance. 15-day credit terms available for approved resellers with a track record of ≥6 months.

Tax responsibility

Resellers collect and remit GST/VAT to their end-customers and tax authorities. HostupCloud charges GST on the wholesale price billed to the reseller.

Pricing to end-customers

You are free to set any retail price. HostupCloud does not dictate minimum or maximum retail pricing.

Reseller credits

Unused account credits from cancelled reseller accounts are refundable at HostupCloud's discretion, minus any outstanding dues.

4. White-Labelling & Branding

4.1Private nameservers (e.g. ns1.yourbrand.com) provided — point to HostupCloud's DNS servers
4.2WHM (WebHost Manager) branded with your company name and logo
4.3HUCPanel reseller panel available with your branding (logo, company name, support email)
4.4End-customers see your brand — HostupCloud is not disclosed unless required by law
4.5Email headers and system emails can be customised to use your domain
4.6You may not use HostupCloud's name, logo, or trademarks in your branding without written permission
4.7You may not misrepresent the geographic origin or ownership of the infrastructure

5. Reseller Obligations

5.1Impose terms on your end-customers that are at least as restrictive as HostupCloud's AUP and these Terms
5.2Promptly investigate and remediate abuse originating from end-customers upon notification from HostupCloud
5.3Maintain accurate end-customer contact records and make them available to HostupCloud upon lawful request
5.4Notify HostupCloud within 48 hours of any security incident affecting resold services
5.5Provide first-level support to your end-customers — do not direct end-customers to HostupCloud support
5.6Maintain a publicly accessible privacy policy and terms of service for your end-customers
5.7You may not provision more resources than your reseller plan allows without upgrading your account
5.8You may not use the reseller panel to set up resources for your own personal use at reseller pricing

6. End-Customer Liability

As a reseller, you are fully responsible for your end-customers' compliance with HostupCloud's AUP and these Terms. HostupCloud has no contractual relationship with your end-customers.

6.1You indemnify HostupCloud from claims, losses, and fines arising from your end-customers' use of resold services
6.2If an end-customer engages in abuse, HostupCloud may suspend the affected account immediately and notify you
6.3You are responsible for collecting payment from your end-customers — non-collection does not excuse non-payment to HostupCloud
6.4HostupCloud will not pursue your end-customers directly for non-payment or AUP violations — all enforcement goes through the reseller
If an end-customer engages in abuse (spam, DDoS, CSAM) and you fail to act within the required timeframe, HostupCloud reserves the right to suspend your entire reseller account without further notice.

7. Support Model

End-Customer → You (Reseller)

Your end-customers contact you for all support. You are responsible for all first-level support including account, billing, and basic technical questions.

You (Reseller) → HostupCloud

You contact HostupCloud support for infrastructure-level issues (hardware failure, network outage, platform bugs). HostupCloud does not support end-customers directly.

7.1Reseller support tickets receive the same SLA as standard customer support
7.2Priority support (2-hour response) available for resellers on the Enterprise reseller tier
7.3HostupCloud does not provide end-customer support — directing end-customers to HostupCloud is a breach of these Terms

8. Termination

By Reseller

30 days' written notice required. You must migrate end-customers or cancel their accounts before termination. Unused prepaid credit is non-refundable.

By HostupCloud — For Cause

Immediate termination for: non-payment, repeated AUP violations by end-customers, fraud, misrepresentation, or reselling to prohibited entities.

By HostupCloud — Without Cause

90 days' written notice. HostupCloud will assist with migration where feasible. Pro-rata refund of prepaid unused balance.

Effect

All end-customer accounts suspended within 30 days. Reseller responsible for notifying their end-customers and providing data retrieval assistance.
