Reseller Terms & Conditions
These Reseller Terms govern the purchase and resale of HostupCloud services under a white-label or sub-reseller arrangement. They supplement the General Terms and Conditions and the System Policies. In the event of conflict, these Reseller Terms prevail for reseller-specific matters.

2. Resellable Products
Shared Web Hosting
Solo, Neo, Entry, Smart Cloud plans. White-label nameservers available. End-customer uses cPanel/HUCPanel.
Cloud VPS
KVM-based VPS plans. Resellers manage provisioning via WHM or API. End-customers get root access.
Domain Registration
Resell domains at your own margin. WHMCS integration supported. Your brand on WHOIS.
SSL Certificates
DV, OV, and EV certificates. Commission-based. Sold through your own billing portal.
Bare Metal Servers
Available to approved enterprise resellers only. Minimum 3-month commitment required.
Colocation
Not available for resale. Direct contract required.
3. Reseller Pricing & Billing
Resellers purchase resources at a discounted wholesale rate (tier-based on volume). The margin between wholesale and your retail price is entirely yours.
HostupCloud bills the reseller, not their end-customers. Resellers are responsible for their own billing systems and collection from end-customers.
Reseller accounts are billed monthly in advance. 15-day credit terms available for approved resellers with a track record of ≥6 months.
Resellers collect and remit GST/VAT to their end-customers and tax authorities. HostupCloud charges GST on the wholesale price billed to the reseller.
You are free to set any retail price. HostupCloud does not dictate minimum or maximum retail pricing.
Unused account credits from cancelled reseller accounts are refundable at HostupCloud's discretion, minus any outstanding dues.

6. End-Customer Liability
As a reseller, you are fully responsible for your end-customers' compliance with HostupCloud's AUP and these Terms. HostupCloud has no contractual relationship with your end-customers.
7. Support Model
End-Customer → You (Reseller)
Your end-customers contact you for all support. You are responsible for all first-level support including account, billing, and basic technical questions.
You (Reseller) → HostupCloud
You contact HostupCloud support for infrastructure-level issues (hardware failure, network outage, platform bugs). HostupCloud does not support end-customers directly.
8. Termination
By Reseller
30 days' written notice required. You must migrate end-customers or cancel their accounts before termination. Unused prepaid credit is non-refundable.
By HostupCloud — For Cause
Immediate termination for: non-payment, repeated AUP violations by end-customers, fraud, misrepresentation, or reselling to prohibited entities.
By HostupCloud — Without Cause
90 days' written notice. HostupCloud will assist with migration where feasible. Pro-rata refund of prepaid unused balance.
Effect
All end-customer accounts suspended within 30 days. Reseller responsible for notifying their end-customers and providing data retrieval assistance.
